1. INTRODUCTION:
Welcome to KJ Media Solutions (“we,” “us,” or “our”). These comprehensive and legally binding Terms and Conditions of Service (“Terms”) constitute a contract between KJ Media Solutions and you, the client, governing the provision of web design and maintenance services. By engaging in our services, you acknowledge and expressly consent to the full terms and conditions set forth herein.

2. SERVICE DESCRIPTION
2.1. Scope of Services: KJ Media Solutions undertakes to deliver the following services:

Website Provision: We shall provide a website based on the WordPress platform,
equipped with the following standard features and functionalities:

- Responsive Design: The website will be designed to be responsive, ensuring optimal display on
  various devices, including desktops, tablets, and mobile
  phones.

- Standard Pages: The website will include standard pages such as a homepage,
  about page, contact page, and services/products page, each with appropriate content placeholders.

- Contact Form: A basic contact form shall be integrated, allowing visitors to get in
  touch with you.

- Image Gallery: An image gallery or portfolio section may be included to showcase
  your work or products.

- Blog Section: A blog section may be included for publishing regular content
  updates.

- Content Management: You will have access to a content management system
  (CMS) for easy text and image updates.

- Basic SEO: Basic search engine optimization (SEO) techniques will be applied to
  improve visibility on search engines.

Customization: While our standard website offering is designed to meet the needs of a broad range of clients, it may not include extensive customization. Clients have the option to further customize, add content, or integrate additional features as per their specific requirements. Any additional services beyond the standard offering shall be available at a negotiated fee.

Ongoing Maintenance: We shall engage in continuous monthly maintenance tasks to ensure the optimal performance, security, and functionality of the website. This includes but is not limited to software updates, plugin maintenance, regular backups, and security monitoring.

Payment Obligation: In consideration of the services rendered by KJ Media Solutions, you are obliged to make punctual monthly payments in the amount of seventy-five Canadian Dollars (CAD $75) in accordance with the terms outlined herein. Please note that the payment amount is subject to change in the future, and you will be notified of any such changes in advance.

Payment Mechanism and Payment Notification: Monthly service fees shall be automatically charged to the credit card designated by you. Upon the processing of each automatic payment, you will receive an email notification confirming the completion of the renewal order. This email serves as a record of the automatic payment transaction.

2.2. Additional Services: For clients desiring more extensive customization, content creation, or advanced functionality beyond the standard offering, KJ Media Solutions can provide additional services. The scope and cost of these additional services shall be subject to separate negotiation and agreement between the parties.

3. PAYMENT AND ADDITIONAL COSTS:

3.1. Payment Obligation: In consideration of the services rendered by KJ Media Solutions, you are obliged to make punctual monthly payments as delineated in Section 2.1.

3.2. Additional Costs: You shall assume responsibility for any and all supplementary expenses, including but not limited to:

Domain Registration: Costs associated with the registration, renewal, and management of domain names required for your website.

WordPress Plan Subscriptions: Subscription fees for any WordPress hosting plans necessary for the operation of the website.

Third-Party Plugins or Extensions: Expenses related to the procurement and licensing of third-party plugins, extensions, or software used to enhance website functionality.

4. OWNERSHIP AND ADMINISTRATION:

4.1. Ownership:
KJ Media Solutions unequivocally retains full ownership, copyright, and intellectual property rights over the website created pursuant to this Agreement. These rights include but are not limited to any custom code, designs, graphics, and proprietary software developed by KJ Media Solutions.

4.2. Administrative Access:
For the duration of this Agreement, KJ Media Solutions shall retain exclusive administrative privileges over the website. You acknowledge that KJ Media Solutions is the sole administrator of the website during the term of this Agreement, with the authority to manage and control all aspects of the website.

4.3. Intellectual Property:
Any content, text, images, or materials contributed by you for integration into the website remain your intellectual property, subject to the rights granted to KJ Media Solutions under this Agreement. You grant KJ Media Solutions a limited, non-exclusive license to use, reproduce, and display your content solely for the purpose of providing the services outlined in this Agreement.

5. MAINTENANCE SCOPE:

5.1. Maintenance Package: The monthly maintenance package encompasses routine updates and minor
modifications, including but not limited to:

Content Updates: Text revisions, image replacements, and content additions or deletions as requested by you.

Software Updates: Updates to the WordPress platform, themes, and plugins to ensure security and compatibility.

Security Measures: Implementation of security patches and monitoring to protect against known vulnerabilities.

Regular Backups: Periodic backup of website data to safeguard against data loss or technical issues.

5.2. Major Overhauls and Theme Changes: Material website alterations such as updating the theme or changing to a new theme, the introduction of new web pages, or incorporation of novel products or features shall be subject to mutually agreed-upon fees, separately negotiated between the parties.

5.3. E-commerce Products: KJ Media Solutions will not add new products beyond the official web design. KJ Media Solutions also will not be responsible for keeping track of or updating product inventory. This will be the sole responsibility of the Client.

6. COMMUNICATION:
6.1. Communication: Clear and effective communication is essential to ensure the successful delivery of our services. If you have any questions, concerns, or require clarification regarding the terminology, scope of services, or any other aspect of this Agreement, it is your responsibility to promptly contact KJ Media Solutions through our designated communication channels.

7. TERM, TERMINATION, AND CANCELLATION:
7.1. Initial Term and Termination: You agree to a minimum initial term of two years (“Initial Term”) for the services outlined in this Agreement, during which the monthly service fee is seventy-five Canadian Dollars (CAD $75). After the Initial Term, this Agreement will automatically transition to a month-to-month basis, and the monthly service fee shall remain at seventy-five Canadian Dollars (CAD $75) unless otherwise agreed upon.

You reserve the right to terminate this Agreement by furnishing KJ Media Solutions with a written notice of no less than thirty (30) days. Upon receipt of the termination notice, KJ Media Solutions shall initiate the termination process, and your website shall be taken offline at the end of the notice period.

7.2. Consequences of Termination or Early Cancellation: In the event of termination or if you choose to cancel this Agreement within the Initial Term, you are still obligated to pay the monthly service fee of seventy-five Canadian Dollars (CAD $75) for the remaining duration of the Initial Term or pay the equivalent of the remaining balance. KJ Media Solutions is entitled to immediately take down the website, rendering it inaccessible to the general public. It is your responsibility to back up any content or data you wish to retain before the termination date.

8. DISPUTE RESOLUTION:
8.1. In the event of any disputes arising from or in connection with this Agreement or the services provided hereunder, the parties shall initially attempt to resolve the dispute through mediation, conducted by a qualified mediator agreed upon by both parties. If mediation fails to resolve the dispute or if either party declines to participate in mediation, the dispute shall be subject to binding arbitration in accordance with the prevailing laws of Ontario, Canada. The arbitration shall be conducted by a qualified and impartial arbitrator agreed upon by both parties, and the decision of the arbitrator shall be final and binding upon both parties.

9. PRIVACY AND DATA PROTECTION:
9.1. Data Handling: KJ Media Solutions is committed to processing your data in accordance with applicable data protection laws. We prioritize the privacy and security of your information, implementing measures to safeguard your data and ensuring compliance with relevant privacy regulations.

10.Liability KJ Media Solutions provides web design, development, and related services to enhance your online presence. However, we assume no liability for any damages, losses, data loss, security breaches, or other negative outcomes resulting from the use or misuse of our services, including those arising from web-based sources. All services are provided as-is, and it is the client’s responsibility to ensure their website complies with all relevant legal requirements, including but not limited to privacy policies, terms of service, and other regulatory standards. Clients are advised to use our services at their own risk.

12. UPDATES TO TERMS:
12.1. Modifications: KJ Media Solutions reserves the prerogative to amend, update, or revise these Terms as necessary to reflect changes in our services, legal requirements, or industry standards. Notice of modifications shall be provided to you via electronic communication or our official website.

SEO Work: We shall engage in continuous SEO maintenance tasks to ensure the optimal performance. This includes but is not limited to, keywords, Meta data, alt image descriptions, analytic and optimization.

Payment Obligation: In consideration of the services rendered by KJ Media Solutions, you are obliged to make punctual monthly payments in the amount of seventy-five Canadian Dollars (CAD $75) in accordance with the terms outlined herein. Please note that the payment amount is subject to change in the future, and you will be notified of any such changes in advance.

independent contractor and not an agent, partner, joint venture, nor an employee of the Client.

New Page Creation: Can request a creation of 1 new web page per month.
Administrative Issues: Will contact web providers support team to fix issues that may arise with the site.

5.2. Major Overhauls and Theme Changes: Material website alterations such as updating the theme or changing to a new theme, the introduction of new web pages, or incorporation of novel products or features shall be subject to mutually agreed-upon fees, separately negotiated between the parties.

SEO SCOPE:

6.1. SEO Package: The monthly SEO package encompasses routine work, including but not limited to:

Key Words: Adding targeted keywords to webpages to try and increase SEO

Meta Data: Adding meta data to all webpages.

Alt Image Text: add alternate text data to images on the website

Analytics: Keep track of websites analytics.
Optimization: Will make efforts to optimize website loading speed.

6.2 SEO Disclosure: The client (you) understand that although SEO work helps increase your chance of getting more web traffic it is not a guarantee and results can take months/years to show.

7. COMMUNICATION:
7.1. Communication: Clear and effective communication is essential to ensure the successful delivery of our services. 12.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada. Any legal actions or proceedings shall be filed and heard exclusively in the courts of Ontario, Canada.

13. UPDATES TO TERMS:
13.1. Modifications: KJ Media Solutions reserves the prerogative to amend, update, or revise these Terms as necessary to reflect changes in our services, legal requirements, or industry standards. Notice of modifications shall be provided to you via electronic communication or our official website.
